Terms & Conditions of Service

Welcome to VokPanda. These Terms & Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Student", or "Tutor") and Stayforall Plus Services Private Limited ("Company", "we", "us", or "our"), governing your access to and use of https://vokpanda.com, the VokPanda iOS and Android applications, and all associated educational services.

1. Acceptance of Terms

By creating an account, browsing courses, booking lessons, or applying as a tutor, you agree to be bound by these Terms. If you do not agree to these terms in their entirety, you must discontinue using our services immediately.

2. Marketplace Model, Intermediary Role & Independent Contractor Status

VokPanda operates as a two-sided digital educational technology marketplace connecting students seeking language instruction with independent certified tutors.

• Intermediary Role (Section 79 IT Act, 2000): Stayforall Plus Services Private Limited ("Stayforall" / "VokPanda") operates solely as a digital technology platform and electronic commerce operator connecting independent tutors with students. Stayforall is an intermediary as defined under Section 79 of the Information Technology Act, 2000.
• Direct Contract for Tutoring: The contract for the provision of educational tutoring is entered into directly between the Student and the Tutor. Stayforall is not a party to that contract, does not provide tutoring services directly, and does not employ the tutors. Tutors set their own teaching curriculum, lesson schedules, and pricing packages within platform guidelines.
• Limited Payment Collection Agency: Stayforall acts solely as a limited payment collection agent for the tutor to facilitate the receipt of lesson fees through authorized payment gateways (e.g., Razorpay Route). Tutors explicitly authorize Stayforall to collect lesson fees on their behalf, deduct the digital platform convenience fee, and remit the net tutoring remuneration directly to the tutor's bank account.
• Independent Contractor Status: Tutors are independent freelance contractors and are not employees, agents, partners, or franchisees of Stayforall Plus Services Private Limited. While VokPanda verifies certifications (Goethe, TELC, CEFR) and KYC documents, the Company does not directly control individual lesson delivery.

3. User Account Security & Eligibility

• You must provide true, accurate, and complete information during registration.
• You are strictly prohibited from sharing your login credentials or selling, transferring, or assigning your account to any other person.
• You must immediately notify VokPanda of any unauthorized use or security breach of your account.

4. Pricing, Payments, Taxes & Documents

• Transparent Price Breakdown: In accordance with statutory electronic commerce operator guidelines, all lesson and course checkouts display an itemized breakdown consisting of:
  1. Tutor Fee: Payable directly to the independent contractor tutor for educational instruction.
  2. Platform Convenience Fee: Charged by Stayforall Plus Services Private Limited for software technology, matchmaking, and live video infrastructure (SAC 9983).
  3. GST on Platform Fee: Statutory Goods and Services Tax (18% - CGST 9% + SGST 9%) levied solely on the platform convenience fee.
• Issuance of Two Distinct Transaction Documents: For every completed booking, students receive and can download two separate legal documents:
  1. Stayforall Tax Invoice: Official Tax Invoice issued by Stayforall Plus Services Private Limited (GSTIN: 32ABPCS1781F1Z8) for the Platform Convenience Fee under SAC 9983.
  2. Tutoring Receipt / Bill of Supply: Issued by Stayforall as a commercial collection agent on behalf of the independent contractor tutor, exempt from GST under Notification No. 65/2017-Central Tax for unregistered service providers with annual aggregate turnover below ₹20,00,000.
• Tutor GST Self-Declaration: All tutors onboarded on VokPanda explicitly warrant and self-declare that their annual aggregate turnover across all business activities does not exceed the statutory threshold of ₹20,00,000 and that they are exempt from registration under Central Tax Notification No. 65/2017-CT.
• 1-on-1 Trial Demo Pass (₹149 / 30-Day Access) & 100% Course Fee Credit Guarantee:
  1. Purpose & Scope: Students may purchase a 30-day 1-on-1 Trial Demo Pass for ₹149 (inclusive of applicable taxes) to schedule individual trial sessions with participating certified educators.
  2. Fair Usage & Booking Limits: Each active Trial Demo Pass grants an allowance to book up to four (4) trial demo sessions within the 30-day period. To ensure equitable access to educator schedules and prevent slot hoarding, students are restricted to booking a maximum of one (1) trial demo per individual tutor, and may maintain at most one (1) active scheduled demo session at any time.
  3. Single Active Pass & Renewal: A student may hold only one (1) active Trial Demo Pass at a time. Pass allowances cannot be stacked or accumulated. To purchase a new Trial Demo Pass and unlock a fresh 4-session allowance, the student must wait until their existing 30-day pass period expires.
  4. 100% Course Fee Credit Guarantee: If a student with an active Trial Demo Pass enrolls in any full course batch or 1-on-1 package within their 30-day pass validity period, the full ₹149 pass fee is automatically credited as an instant discount at checkout, making the trial sessions effectively ₹0.
  5. Platform Fee Absorption & Tutor Fee Protection: The ₹149 course credit is absorbed exclusively and entirely by Stayforall Plus Services Private Limited by discounting the Platform Convenience Fee. The educator's statutory 80% instructional remuneration is 100% protected and is never reduced or discounted. In the statutory Stayforall Tax Invoice, the Platform Convenience Fee reflects the discounted net charge subject to 18% GST (SAC 9983), while the educator's Tutoring Receipt / Bill of Supply reflects their full, unreduced 80% instructional fee.
  6. Pass Expiration & Non-Refundability: The ₹149 pass fee is a non-refundable digital facilitation charge. If a student does not enroll in a full course within the 30-day window, the ₹149 credit expires and is forfeited. Expired passes cannot be applied toward future courses or refunded.
• Mobile App All-Access Subscription: VokPanda offers an optional self-study All-Access Pass for ₹99 per month (inclusive of applicable statutory taxes), granting full access to 1,000+ interactive CEFR language lessons (A1–B2), Goethe/TELC grammar drills, native audio exercises, and vocabulary flashcards. Subscriptions renew on a monthly cycle unless cancelled. Users can cancel at any time with zero penalty directly from their app profile settings or by emailing vokpandaofficial@gmail.com or stayforall@stayforall.com.
• Payment Gateway: All payments are processed securely through Razorpay, Apple In-App Purchase, or Google Play Billing. By submitting payment details, you authorize the designated payment processor to handle the transaction amount.
• Tutor Payouts: Tutors receive payouts directly to their verified Indian bank accounts on a scheduled weekly disbursement cycle after deducting platform commission.

5. Live Lesson Conduct & Safety Safeguards

All participants in VokPanda virtual classrooms (Agora video sessions) must adhere to our Community Code of Conduct:

• Zero Tolerance for Harassment: Any form of verbal abuse, sexual harassment, discriminatory remarks (based on religion, caste, gender, or nationality), or inappropriate conduct will lead to immediate lifetime account termination and report to law enforcement.
• No Off-Platform Solicitation: Students and Tutors agree not to solicit, offer, or accept payments or private lessons outside the VokPanda platform ("Non-Circumvention Rule"). Violations result in immediate tutor de-listing and forfeiture of pending earnings.
• Punctuality: Tutors and students are expected to join scheduled sessions on time. Rescheduling rules are governed by our Refund Policy.

6. Intellectual Property Rights

All trademarks, logos, UI designs, codebases, audio flashcards, AI algorithms, and branding elements associated with VokPanda are the exclusive intellectual property of Stayforall Plus Services Private Limited.

Trademark Notice: Goethe-Institut, TELC GmbH, and ÖSD are registered trademarks of their respective owners. Reference to these exams on VokPanda is made solely for descriptive, educational prep identification purposes under fair use doctrine.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Stayforall Plus Services Private Limited and its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from platform downtime, loss of exam admission, internet failure, or dispute between students and tutors.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of India. In the event of any controversy or claim, the parties agree to resolve disputes through good-faith mutual negotiations. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Ernakulam, Kerala, India.
