Terms & Conditions of Service

Welcome to VokPanda. These Terms & Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Student", or "Tutor") and Stayforall Plus Services Private Limited ("Company", "we", "us", or "our"), governing your access to and use of https://vokpanda.com, the VokPanda iOS and Android applications, and all associated educational services.

1. Acceptance of Terms

By creating an account, browsing courses, booking lessons, or applying as a tutor, you agree to be bound by these Terms. If you do not agree to these terms in their entirety, you must discontinue using our services immediately.

2. Marketplace Model & Independent Contractor Status

VokPanda operates as a two-sided educational technology marketplace connecting students seeking German language instruction with independent certified tutors.

Tutors are independent third-party contractors and are not employees, agents, partners, or franchisees of Stayforall Plus Services Private Limited. Tutors set their own teaching curriculum, lesson schedules, and pricing packages within platform guidelines. While VokPanda verifies certifications (Goethe, TELC, CEFR) and KYC documents, the Company does not directly control individual lesson delivery.

3. User Account Security & Eligibility

• You must provide true, accurate, and complete information during registration.
• You are strictly prohibited from sharing your login credentials or selling, transferring, or assigning your account to any other person.
• You must immediately notify VokPanda of any unauthorized use or security breach of your account.

4. Pricing, Payments & Taxes

• Transparent Pricing: All course package prices and 1-on-1 hourly rates are displayed clearly in Indian Rupees (INR) or localized currency inclusive of applicable statutory taxes (GST).
• Payment Gateway: All payments are processed securely through Razorpay. By submitting payment details, you authorize Razorpay to process the full transaction amount.
• Platform Fee: VokPanda may charge a standard service facilitation fee to support live video infrastructure, customer support, and payment handling.
• Tutor Payouts: Tutors receive payouts directly to their verified Indian bank accounts on a scheduled weekly disbursement cycle after deducting platform commission.

5. Live Lesson Conduct & Safety Safeguards

All participants in VokPanda virtual classrooms (Agora video sessions) must adhere to our Community Code of Conduct:

• Zero Tolerance for Harassment: Any form of verbal abuse, sexual harassment, discriminatory remarks (based on religion, caste, gender, or nationality), or inappropriate conduct will lead to immediate lifetime account termination and report to law enforcement.
• No Off-Platform Solicitation: Students and Tutors agree not to solicit, offer, or accept payments or private lessons outside the VokPanda platform ("Non-Circumvention Rule"). Violations result in immediate tutor de-listing and forfeiture of pending earnings.
• Punctuality: Tutors and students are expected to join scheduled sessions on time. Rescheduling rules are governed by our Refund Policy.

6. Intellectual Property Rights

All trademarks, logos, UI designs, codebases, audio flashcards, AI algorithms, and branding elements associated with VokPanda are the exclusive intellectual property of Stayforall Plus Services Private Limited.

Trademark Notice: Goethe-Institut, TELC GmbH, and ÖSD are registered trademarks of their respective owners. Reference to these exams on VokPanda is made solely for descriptive, educational prep identification purposes under fair use doctrine.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Stayforall Plus Services Private Limited and its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from platform downtime, loss of exam admission, internet failure, or dispute between students and tutors.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of India. In the event of any controversy or claim, the parties agree to resolve disputes through good-faith mutual negotiations. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Ernakulam, Kerala, India.
